Item 8.01 Results of Operation and Financial Condition.
On April 3, 2006, Hercules Technology Growth Capital, Inc. (the “Company”) announced that its Board of Directors has voted to declare a dividend on its common stock for the first quarter of 2006 of $0.30 per share payable on May 5, 2006, to all shareholders of record as of April 10, 2006.
A press release announcing these events is attached hereto as Exhibit 99.1.
