Item 2.02 Results of Operation and Financial Condition

On April 29, 2021, Hercules Capital, Inc. (the “Company”) issued a press release announcing its earnings for the quarter ended March 31, 2021. The text of the press release is included as an exhibit to this Form 8-K.

Item 8.01 Other Events

On April 27, 2021, the Company announced that its Board of Directors has declared a quarterly dividend of $0.32 per share. Additionally, the Company also announced that its Board of Directors has declared a supplemental dividend for fiscal 2021 of $0.28 per share, which will be paid as a $0.07 per share dividend to shareholders on the applicable record dates in each of May 2021, August 2021, November 2021 and March 2022. Each dividend payable in May 2021 is payable in such amounts and on such dates to shareholders, as forth below. The texts of the press releases are included as an exhibit to this Form 8-K.
